Role Summary
We are actively seeking a Staff Attorney (Transactions, Employment & Fund Compliance) to manage critical legal functions across the firm. This unique, deal-by-deal, performance-based position is designed for an attorney who thrives on direct responsibility and meaningful financial upside tied to results. The role is focused on essential legal support, including detailed deal document review, drafting and managing employment and operational contracts, and assisting with complex fund formation and securities-related compliance matters. This is a highly specialized role and is not intended to function as a traditional General Counsel position.

Compensation: Performance-Based Only (2.5% of firm economics at closing)
Responsibilities (How You’ll Deliver)
Draft, review, and negotiate various operational and employment-related agreements, including NDAs and confidentiality agreement Non-Compete, Non-Solicit and Advisory and consulting agreements.
Review and provide legal redlines on transactional documents such as Letters of Intent (LOIs), Term Sheets, Operating Agreements (light to moderate review), and Key Commercial Contracts during diligence.
Support legal diligence for acquisitions and financing transactions, maintain legal closing checklists, coordinate with outside deal counsel as needed.
Support compliance with Regulation D offerings, accredited investor requirements, and State notice filings (Blue Sky), and review communications related to capital raising for basic securities compliance.
Assist in initial review of target company IP portfolios (patents, trademarks, licensing structure) during the due diligence phase to identify potential risks.
Maintain and update the Employee Handbook and internal legal department guides.
Must-Have Qualifications
J.D. from an accredited U.S. law school
1–6 years of experience in either corporate law, employment law, M&A, private funds and/or securities law.
Licensed and in good standing in at least one U.S. jurisdiction.
Demonstrated ability to manage multiple complex legal streams (transactions, compliance, and contracts) concurrently.
Exceptional drafting skills and high attention to detail.
Excellent organizational, written, and verbal communication skills.
Ability to work in high-urgency deal environments.
Ability to work independently and meet transaction deadlines.
