Role Summary
Own the IPO readiness workstream for DAC portfolio companies: compress time-to-file, sharpen the equity story, and run a tight cross-functional process from S-1 drafting through TTW/roadshow. You’ll sit at the intersection of Finance, Legal, IR, and underwriters to turn operating KPIs into investor-grade narratives and deliver clean, on-time filings.
Responsibilities (How You’ll Win)
Filing & Content: Drive S-1/F-1 drafting workflow (MD&A, KPIs, risk factors), coordinate auditors/counsel, manage EDGARization.
Modeling: Own cap-table/waterfall, proceeds & dilution, price-range sensitivities, use-of-proceeds tracking, pro-forma EPS.
Market Workups: Build trading comps, precedent IPO sets, KPI benchmarks; maintain watchlist and peer KPIs.
Equity Story & Materials: Produce banker-grade slides; craft TTW/roadshow scripts, speaker notes, objection-handling FAQ.
Syndicate Interface: Support bookbuild etiquette, allocations/greenshoe/lock-ups, stabilization considerations with underwriters.
Project Management: Run critical path, stand-ups, and issue logs; unblock Legal/Finance/IR to hit filing dates.
Feedback Loop: Systematize investor feedback; iterate messaging and KPI disclosure accordingly.
Controls & Compliance: Enforce MNPI hygiene, Reg FD posture, version control, and chain-of-custody in the data room.
Templates & Scale: Codify checklists, trackers, and templates for reuse across Industrials, Industrial Services, Business Services, Healthcare, A&D, and IT.
Qualifications (What You Bring)
Experience: 3–6 years in ECM/Syndicate/IB (IPO focus), Capital Markets Advisory, IR, or equivalent transactional role; participated in at least one IPO or S-1/F-1 readiness program.
Must-Have Skills: S-1/F-1 workflow; auditor/legal liaison; IPO modeling (cap table, dilution, pro-forma EPS); comps/precedents; TTW/roadshow prep; syndicate mechanics.
Technical: Advanced Excel (sensitivities, auditing), PowerPoint/Slides (sharp narratives), crisp writing under time pressure.
Regulatory: Familiar with Reg S-K/S-X, SEC comment-letter process, Reg FD, SOX 302/404 readiness concepts.
Tools: Google Workspace & Microsoft 365; CRM-agnostic (Bitrix experience a plus); VDRs (Intralinks/Box/Drive); FactSet/Bloomberg/CapIQ familiarity helpful; Workiva/Donnelley/EDGAR vendors a plus.
Credentials: Bachelor’s in Finance/Accounting/Econ/Engineering or equivalent; MBA/CPA a plus (not required). Series 79/63 helpful (or willingness to obtain via partner BD if scope requires). U.S. work authorization.
Compliance
Role interfaces with MNPI. Strict adherence to DAC policies, Reg FD posture, need-to-know access, and audit-ready documentation is mandatory.
